Buying a Business—Stone Carlie represents buyers in their search for potential acquisition candidates and the evaluation of those opportunities.  We offer full support through the transaction cycle, including:
Planning—assist in evaluating the deal, value estimation, and preparation of a Letter of Intent
Conducting due diligence—financial analysis, operating performance, identify areas of concern
Structuring the deal—accounting advice, tax considerations, negotiating price, terms, and conditions
Closing—Final adjustments, provide sale and purchase agreement advice, and providing post-closing assistance.
Post-Closing Assistance—Provide compilation, review or audit; provide tax services; integration of information technology systems

Selling a Business—Stone Carlie represents clients in the difficult and time-consuming process of selling all or parts of their companies.  All efforts on behalf of our clients strive to protect the confidentiality of the sale process while structuring a transaction that satisfies the seller’s pricing expectations and transfer of ownership objectives.  Services provided to seller clients include:
-Assessing the market valuation to determine alternative pricing options
-Preparation of a detailed, confidential offering memorandum which includes the company history and evolution to its present status, an evaluation of the market(s) in which the company operates, as well as historic and projected financial information
-Conducting strategic searches in designated industries for qualified buyers while ensuring the confidentiality of our client’s business during the sale process by requiring each potential buyer to execute a Confidentiality and Non-Disclosure Agreement and obtaining the seller’s prior approval of the potential acquirers before distributing any information
-Coordinating and facilitating communications, meetings and visits with qualified buyers
-Assisting in obtaining regulatory, government and other approvals
-Assisting in the negotiation and structuring of a transaction to realize the maximum potential after tax proceeds from the sale
-Assisting in the preparation of a Letter of Intent, negotiating the sale price and the terms and conditions of the transaction, facilitating due diligence, and the preparation and negotiation of a purchase agreement, and all documentation related to closing a transaction

Management Buy Outs (MBO)—We provide advisory services and assistance to management clients who are interested in buying the company that employs them.  These services can include the evaluation, structuring, and negotiation of a MBO.

Management Buy Ins (MNI)—We also provide advisory services to executive manager clients to purchase companies in their area of management expertise.  We will assist in the search for an appropriate acquisition candidate.
